JAM SQL STUDIO END USER LICENSE AGREEMENT (EULA)

IMPORTANT: PLEASE READ THIS END USER LICENSE AGREEMENT ("AGREEMENT") CAREFULLY
BEFORE DOWNLOADING, INSTALLING, OR USING JAM SQL STUDIO ("SOFTWARE"). BY
DOWNLOADING, INSTALLING, OR USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE
TERMS OF THIS AGREEMENT.
IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT DOWNLOAD, INSTALL,
OR USE THE SOFTWARE.

1. DEFINITIONS

1.1 "Software" means Jam SQL Studio, including all updates, upgrades, and
documentation provided by the Licensor.
1.2 "Licensor" means Aleksander Kowalczyk, the developer and publisher of
Jam SQL Studio.
1.3 "Personal Mode" means the free tier of the Software, licensed exclusively
for personal, non-commercial use.
1.4 "Pro Mode" means the paid subscription tier of the Software, licensed for
commercial and professional use.
1.5 "Subscription" means a time-limited license to use Pro Mode features,
purchased on a monthly or yearly basis.
1.6 "Trial" means the 14-day evaluation period during which Pro Mode features
are available at no charge.
1.7 "User" or "You" means the individual or legal entity accepting this
Agreement.

2. LICENSE GRANT

2.1 PERSONAL MODE LICENSE
Subject to the terms of this Agreement, Licensor grants You a limited,
non-exclusive, non-transferable, revocable license to download, install, and
use the Software in Personal Mode for personal, non-commercial purposes only.
Personal Mode Restrictions:
- You may NOT use Personal Mode for any commercial, business, or revenue-
generating activities
- You may NOT use Personal Mode in a professional or enterprise environment
- You may NOT use Personal Mode to provide services to third parties
- Certain features are limited or unavailable in Personal Mode (see Section 3)
2.2 PRO MODE LICENSE
Subject to payment of applicable Subscription fees and the terms of this
Agreement, Licensor grants You a limited, non-exclusive, non-transferable
license to download, install, and use the Software in Pro Mode for commercial
and professional purposes.
Pro Mode includes:
- Full access to all Software features
- Commercial use rights
- Priority support
- AI Workspace features
- No size limits on database operations
2.3 TRIAL LICENSE
Licensor may offer a 14-day Trial of Pro Mode features at no charge. The Trial
is offered on an "as-is" basis and may be modified or discontinued at any time.
Trial accounts are limited to one per User.

3. FEATURE LIMITATIONS (PERSONAL MODE)

Personal Mode includes the following limitations to ensure sustainable free
tier usage:
3.1 AI Workspace features are not available in Personal Mode
3.2 Schema Overview is limited to 100 objects for large databases
3.3 Data Compare full comparison is limited to tables with 10,000 rows or fewer
3.4 Schema Compare is limited to databases with 200 objects or fewer
3.5 Backup and restore operations are limited to databases of 1 GB or smaller
3.6 Clone Database with data is limited to databases of 1 GB or smaller
3.7 Clone Table with data is limited to tables with 100,000 rows or fewer
3.8 Export operations are limited to 100,000 rows
These limitations may be changed at any time at Licensor's sole discretion.

4. SUBSCRIPTION TERMS

4.1 PRICING
Pro Mode Subscriptions are available at the following rates:
- Monthly: $9.99 USD per month
- Yearly: $99.99 USD per year (approximately 17% savings)
Prices are subject to change with 30 days' advance notice.
4.2 BILLING
Subscriptions are billed in advance on a recurring basis (monthly or yearly,
depending on your selection). Payment is processed through Stripe, Inc.
4.3 AUTOMATIC RENEWAL
Your Subscription will automatically renew at the end of each billing period
unless you cancel before the renewal date. You authorize us to charge your
payment method on file for any such automatic renewal.
4.4 CANCELLATION
You may cancel your Subscription at any time through the Stripe Customer Portal.
Upon cancellation, your Subscription will remain active until the end of the
current billing period, after which it will not renew.
4.5 REFUNDS
Subscription fees are non-refundable except as required by applicable law.
4.6 GRACE PERIOD
If payment fails, you will have a 7-day grace period during which Pro Mode
features remain available while we attempt to process your payment. After the
grace period expires, your account will revert to Personal Mode.

5. ACCOUNT REQUIREMENTS

5.1 To use Pro Mode or Trial features, you must create an account.
5.2 You may authenticate using email/password, Google OAuth, or GitHub OAuth.
5.3 You are responsible for maintaining the confidentiality of your account
credentials and for all activities under your account.
5.4 One Subscription is valid for one User. Account sharing is prohibited.

6. INTELLECTUAL PROPERTY

6.1 The Software, including all code, graphics, user interface, and
documentation, is owned by the Licensor and is protected by copyright,
trademark, and other intellectual property laws.
6.2 This Agreement does not grant You any ownership rights to the Software.
6.3 You may not modify, reverse engineer, decompile, disassemble, or create
derivative works of the Software, except to the extent permitted by
applicable law.
6.4 "Jam SQL Studio" and associated logos are trademarks of the Licensor.

7. DATA AND PRIVACY

7.1 The Software may collect usage analytics to improve the product. This
data is anonymized and does not include your database content or queries.
7.2 Your database credentials and connection information are stored locally
on your device and are not transmitted to our servers.
7.3 Account information (email, name) is stored securely by our authentication
provider (LogTo) and payment processor (Stripe).

8. DISCLAIMER OF WARRANTIES

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY
KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
LICENSOR DOES NOT WARRANT THAT:
- THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE
- THE SOFTWARE WILL MEET YOUR REQUIREMENTS
- ANY DEFECTS IN THE SOFTWARE WILL BE CORRECTED
- THE SOFTWARE WILL NOT CAUSE DATA LOSS OR CORRUPTION
YOU ASSUME ALL RESPONSIBILITY FOR SELECTING THE SOFTWARE TO ACHIEVE YOUR
INTENDED RESULTS AND FOR THE INSTALLATION, USE, AND RESULTS OBTAINED FROM
THE SOFTWARE.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR
BE LIABLE FOR:
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
- ANY DAMAGES RESULTING FROM YOUR USE OR INABILITY TO USE THE SOFTWARE
- ANY DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO YOUR DATA
LICENSOR'S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT
YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR
LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE
LIMITATIONS MAY NOT APPLY TO YOU.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless the Licensor from and against
any and all claims, damages, losses, costs, and expenses (including reasonable
attorneys' fees) arising from:
- Your use of the Software
- Your violation of this Agreement
- Your violation of any rights of any third party

11. EXPORT COMPLIANCE
================================================================================
You agree to comply with all applicable export and re-export control laws and
regulations. You represent that you are not located in a country subject to
U.S. government embargo or designated as a "terrorist supporting" country, and
you are not listed on any U.S. government list of prohibited or restricted
parties.

12. TERMINATION
================================================================================
12.1 This Agreement is effective until terminated.
12.2 Licensor may terminate this Agreement immediately if you fail to comply
with any term of this Agreement.
12.3 Upon termination, you must cease all use of the Software and destroy all
copies in your possession.
12.4 Sections 6, 7, 8, 9, 10, and 14 shall survive termination.

13. UPDATES AND CHANGES

13.1 Licensor may release updates to the Software from time to time. Some
updates may be required to continue using the Software.
13.2 Licensor reserves the right to modify this Agreement at any time.
Material changes will be communicated via email or in-app notification.
13.3 Your continued use of the Software after changes to this Agreement
constitutes acceptance of the modified Agreement.

14. GOVERNING LAW AND DISPUTE RESOLUTION

14.1 This Agreement shall be governed by and construed in accordance with the
laws of Poland, without regard to its conflict of law provisions.
14.2 Any dispute arising from or relating to this Agreement shall be resolved
through good-faith negotiation. If negotiation fails, disputes shall be
submitted to binding arbitration in accordance with the rules of the
Polish Chamber of Commerce.
14.3 Notwithstanding the above, Licensor may seek injunctive or other
equitable relief in any court of competent jurisdiction.

15. GENERAL PROVISIONS

15.1 ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between you and Licensor
regarding the Software and supersedes all prior agreements and understandings.
15.2 SEVERABILITY
If any provision of this Agreement is held to be invalid or unenforceable,
the remaining provisions shall continue in full force and effect.
15.3 WAIVER
The failure of Licensor to enforce any provision of this Agreement shall not
constitute a waiver of such provision or any other provision.
15.4 ASSIGNMENT
You may not assign or transfer this Agreement without Licensor's prior written
consent. Licensor may assign this Agreement without restriction.
